Terms and Conditions

These Terms and Conditions ("Terms") govern the use of services, products, and interactions with SYSBA Trade Branding Limited ("we", "our", "us"). By engaging in business with us, you ("client", "buyer", or "partner") agree to abide by the following terms.

 

  1. Business Nature

SYSBA Trade Branding Limited operates as a wholesale supplier and fashion brand specializing in ladies' wear, including kameez, 3-piece, 2-piece, and single-piece garments for the local market.

 

  1. Order Placement
  • All orders must be placed via official communication channels (phone, WhatsApp, email, or in-person).
  • Orders are considered confirmed only upon mutual agreement on pricing, quantity, and delivery timeline.
  • Advance payments may be required depending on order volume.

 

  1. Pricing and Payment
  • Prices are provided in Bangladeshi Taka (BDT) unless otherwise stated.
  • Payment methods accepted: cash, bank transfer, or mobile banking (e.g., bKash/Nagad).
  • For bulk or custom orders, a minimum advance of 50% may be required.
  • Full payment must be completed before or at the time of delivery unless otherwise agreed in writing.

 

  1. Production & Delivery
  • Production timelines vary depending on order size and product type.
  • We aim to deliver on the agreed schedule; however, delays due to unavoidable circumstances (e.g., supply chain issues, strikes, natural disasters) are not our responsibility.
  • Delivery costs, if applicable, will be added to the final invoice unless otherwise agreed.

 

  1. Returns and Exchange

In summary:

  • Only damaged, defective, or incorrect items are eligible for return.
  • Requests must be made within 3 days of receiving the products.

 

  1. Intellectual Property
  • All designs, branding, and creative materials produced by SYSBA remain the intellectual property of SYSBA unless explicitly transferred in writing.
  • Unauthorized use, duplication, or reproduction of our designs or branding assets is strictly prohibited.

 

  1. Confidentiality
  • Business terms, pricing, and any shared documentation must remain confidential between SYSBA and the client.
  • Disclosure to third parties without prior written consent is not allowed.

 

  1. Limitation of Liability

SYSBA Trade Branding Limited is not liable for

  • Business losses, indirect damages, or delays caused by third-party services (e.g., courier companies).
  • Color mismatches due to screen variations or batch dye differences.

 

  1. Dispute Resolution
  • Any disputes will be first attempted to resolve through discussion and mutual agreement.
  • If unresolved, the dispute will be subject to the jurisdiction of the courts of [Insert City/District], Bangladesh.

 

  1. Policy Updates

SYSBA reserves the right to update these Terms and Conditions at any time without prior notice. Clients will be notified of significant changes.
